1. Introduction

Welcome to Causly ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Causly platform, including our website at causly.dev, our API, our VSCode extension, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials, including your password and any license keys.
  • Promptly notify us of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

4. Description of Service

Causly is a platform that analyzes customer screen recordings to help identify and resolve software bugs. The Service includes a web application, API, VSCode extension, and related tools. Features and functionality may change over time as we develop and improve the Service.

5. Subscriptions and Payment

5.1 Plans and Pricing

The Service is offered through subscription plans (Starter, Pro, and Team) with varying usage limits, as described on our Pricing page. We also offer a 14-day free trial with limited usage.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis through our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees. All fees are stated in U.S. dollars and are non-refundable except as required by law.

5.3 Usage Limits

Each plan includes a monthly video analysis quota. If you exceed your quota, additional analyses may be billed at the overage rate specified for your plan, or access may be restricted until your next billing cycle.

5.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period you have already paid for.

5.5 Price Changes

We may change our prices from time to time. We will provide at least 30 days' notice before any price changes take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Upload content that infringes on the intellectual property rights of others.
  • Upload content that contains malware, viruses, or other harmful code.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to process data in violation of any third party's rights or applicable privacy laws.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Use automated tools to scrape, crawl, or excessively access the Service beyond normal use.

7. Your Content

7.1 Ownership

You retain all ownership rights in the content you upload to the Service, including screen recordings, source code, codebase data, and any other materials ("Your Content"). We do not claim ownership of Your Content.

7.2 License to Us

By uploading content to the Service, you grant us a limited, non-exclusive, royalty-free license to process, store, transmit, and analyze Your Content solely for the purpose of providing the Service to you. This includes transmitting Your Content to third-party service providers as necessary to operate the Service. This license terminates when you delete Your Content or close your account.

7.3 Responsibility

You are solely responsible for Your Content and must ensure you have the necessary rights and permissions to upload it. You must not upload content containing sensitive personal data (such as health records, financial information, or government identifiers) unless you have appropriate legal basis and consent.

8. Codebase Data

When you use our codebase indexing feature, source code content from your project is transmitted to and stored on our servers. This content may also be transmitted to third-party service providers as necessary to provide the Service. Your code is transmitted over encrypted connections. You can delete your codebase data at any time from your account settings. See our Privacy Policy for more details.

9. AI-Generated Output

The Service uses artificial intelligence to generate analysis results, fix suggestions, and other output ("AI Output"). You acknowledge that:

  • AI Output is provided as suggestions and starting points, not definitive solutions.
  • AI Output may contain inaccuracies or errors. You are responsible for reviewing and verifying all AI Output before applying it.
  • We do not guarantee the accuracy, completeness, or suitability of any AI Output.
  • You are solely responsible for any code changes you make based on AI Output.

10. Intellectual Property

The Service, including its design, code, algorithms, documentation, trademarks, and all related intellectual property, is owned by Causly and protected by applicable intellectual property laws. These Terms do not grant you any right to use the Causly name, logo, or trademarks without our prior written consent.

11. Third-Party Services

The Service relies on third-party service providers to operate, including providers for AI processing, payment processing, cloud infrastructure, email delivery, authentication, analytics, and other operational functions. Your Content and personal data may be shared with these providers as necessary to deliver the Service.

Your use of the Service is also subject to the terms and privacy policies of these third-party providers. We are not responsible for the practices of third-party services. See our Privacy Policy for more details on how your data is shared.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Causly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service, regardless of the cause of action or the theory of liability.

Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Causly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.
  • Your Content uploaded to the Service.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our data retention policies and Privacy Policy.

Sections 7 (Your Content), 9 (AI-Generated Output), 10 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) shall survive termination.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Causly operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
